VOXA Voice Agent Terms & Conditions

1. Introduction
These Terms & Conditions (“Terms”) govern access to and use of VOXA Voice Agent (“VOXA”, the “Service”), provided by AIBUILDHUBS G.P. (“AIBUILDHUBS”, “we”, “us” or “our”).
VOXA is an AI-powered website voice and chat agent designed primarily for hospitality, accommodation, tourism and real estate businesses.
By purchasing, activating, accessing or using VOXA, the business customer agrees to these Terms.
If an individual accepts these Terms on behalf of a company or other organisation, that individual confirms that they have authority to bind that organisation.

3. Definitions
For these Terms:
- “Business Customer” means the hotel, accommodation provider, property manager, real estate business or other organisation subscribing to or operating VOXA.
- “Authorised User” means an employee, representative or contractor authorised by the Business Customer to access the Service or Client Dashboard.
- “End User” means a website visitor, guest, traveller, prospective buyer, seller, landlord, tenant or lead interacting with VOXA.
- “Customer Content” means information, documents, website content, policies, property details, instructions and other material supplied or approved by the Business Customer.
- “Conversation Data” means messages, transcripts, inquiries, responses, operational status and related information processed through VOXA.
- “Client Dashboard” means the customer-facing environment providing authorised visibility into VOXA activity and operational information.
4. Description of the Service
Depending on the selected plan and configuration, VOXA may provide:
- AI-powered website chat and voice interaction;
- answers based on customer-approved knowledge;
- hospitality and accommodation inquiry support;
- real estate inquiry support;
- multilingual interaction;
- booking-intent or property-interest identification;
- structured collection of voluntarily submitted information;
- conversation status and outcome visibility;
- low-confidence detection;
- escalation and human-handoff support;
- Client Dashboard access;
- managed onboarding and activation;
- operational monitoring and support.
Features may differ by plan, configuration, industry and implementation stage.
Only features expressly included in the applicable order, checkout, subscription plan or written agreement form part of the purchased Service.
5. AI Disclosure
VOXA is an artificial intelligence system and not a human representative.
The Business Customer must ensure that End Users are informed clearly, at the beginning of their first direct interaction, that they are communicating with an AI system.
AIBUILDHUBS may include this disclosure directly in the VOXA interface. The Business Customer must not remove, conceal or misrepresent the disclosure.
6. Account Eligibility
The Service is intended primarily for business and professional use.
To subscribe to VOXA, the Business Customer must:
- have legal authority to enter into a binding agreement;
- provide accurate account and billing information;
- use the Service for a legitimate business purpose;
- maintain a valid contact and escalation channel;
- comply with applicable data-protection, consumer, communications and industry laws.
7. Trials, Activation and Subscription Plans
VOXA may be offered through:
- a free or limited trial;
- a one-time activation or onboarding fee;
- a recurring monthly or annual subscription;
- usage-based interaction allowances;
- custom commercial arrangements.
Current plans, pricing, allowances and activation fees are displayed on the applicable VOXA pricing or checkout page or confirmed in writing.
A trial:
- may have limited functionality or interaction volume;
- is intended for evaluation;
- may be restricted to one trial per Business Customer;
- may expire automatically;
- may be suspended in cases of abuse;
- does not guarantee continued free access.
8. Fees and Payment
The Business Customer agrees to pay all applicable:
- activation fees;
- subscription fees;
- usage-based fees;
- onboarding or custom-configuration charges;
- taxes, including VAT where applicable.
Payment may be processed through a third-party payment provider.
Unless otherwise stated in writing:
- recurring subscriptions renew automatically for the applicable billing period;
- fees are charged according to the selected plan;
- the Business Customer is responsible for maintaining a valid payment method;
- failure to pay may result in restriction or suspension;
- fees already incurred remain payable after cancellation;
- statutory rights and expressly agreed refund terms remain unaffected.
9. Cancellation
The Business Customer may cancel according to the process described in the applicable subscription, checkout or account-management environment.
Cancellation prevents future renewal but does not normally reverse fees already charged for a completed or active billing period, unless:
- required by applicable law;
- expressly stated in the relevant plan;
- agreed in writing by AIBUILDHUBS.
The Service may remain available until the end of the paid billing period unless immediate termination is requested or required.
10. Licence
Subject to these Terms and payment of applicable fees, AIBUILDHUBS grants the Business Customer a limited, non-exclusive, non-transferable and revocable right to use VOXA during the subscription term for its internal business operations and authorised website interactions.
The licence does not transfer ownership of VOXA or its underlying technology.
11. Business Customer Responsibilities
The Business Customer is responsible for:
- the accuracy and legality of Customer Content;
- keeping property, accommodation, pricing, availability and policy information current;
- reviewing VOXA configuration during onboarding;
- maintaining valid human-handoff contacts;
- ensuring Authorised Users protect their credentials;
- limiting Client Dashboard access;
- informing End Users that VOXA is an AI system;
- providing an appropriate privacy notice;
- establishing a valid legal basis for processing;
- complying with cookie and microphone requirements;
- responding to End User and data-subject requests;
- verifying material information before acting on an AI-generated response;
- ensuring VOXA is not used for prohibited purposes.
The Business Customer remains responsible for business decisions, customer service, bookings, property transactions and regulatory compliance.
12. Customer Content and Knowledge Sources
The Business Customer retains ownership of its Customer Content.
The Business Customer grants AIBUILDHUBS a limited right to host, process, structure, retrieve and use Customer Content only as necessary to:
- configure and operate VOXA;
- answer relevant questions;
- provide support;
- maintain security;
- fulfil the applicable service agreement.
The Business Customer confirms that:
- it has the right to provide the Customer Content;
- the content is accurate to the best of its knowledge;
- the content does not infringe third-party rights;
- the content can lawfully be used for the intended purpose;
- necessary updates will be provided promptly.
AIBUILDHUBS is not responsible for incorrect outputs caused by inaccurate, incomplete, outdated or misleading Customer Content.
13. Acceptable Use
The Business Customer and Authorised Users must not use VOXA to:
- violate any law or regulation;
- mislead End Users about the AI nature of the Service;
- impersonate an individual without authority;
- generate fraudulent or deceptive communications;
- process unlawfully obtained personal data;
- collect unnecessary sensitive information;
- conduct unlawful surveillance or profiling;
- discriminate against individuals;
- make solely automated decisions producing legal or similarly significant effects without an appropriate legal basis and human safeguards;
- distribute malware or malicious code;
- interfere with security or access controls;
- test vulnerabilities without written authorisation;
- reverse engineer, decompile or attempt to extract the Service’s source code, models or protected logic;
- bypass usage limits or licensing controls;
- use VOXA for emergency dispatch or safety-critical decisions;
- use outputs to provide unauthorised legal, medical, financial or other regulated professional advice;
- infringe intellectual-property, privacy or confidentiality rights.
14. AI-Generated Responses
VOXA uses artificial intelligence and may produce responses that are:
- incomplete;
- inaccurate;
- outdated;
- inappropriate for a particular situation;
- based on incomplete Customer Content;
- affected by ambiguous user input.
AIBUILDHUBS does not guarantee that every answer will be correct or that VOXA will resolve every inquiry.
The Business Customer must maintain human oversight for material matters, including:
- accommodation availability;
- confirmed bookings;
- cancellations and refunds;
- pricing;
- payments;
- property availability;
- legal rights;
- contractual commitments;
- safety or emergency situations.
15. No Binding Booking, Payment or Property Commitment
Unless a specific integration or transactional feature has been expressly enabled and confirmed in writing, a VOXA response does not:
- confirm a binding accommodation booking;
- guarantee availability;
- create a payment obligation;
- complete a property transaction;
- reserve a property;
- create a tenancy or sale agreement;
- constitute a legally binding offer;
- replace written confirmation from the Business Customer.
The Business Customer remains responsible for issuing binding confirmations.
16. Human Handoff and Emergencies
VOXA may identify that a request should be transferred to a human team. Successful handoff depends on the contact information, staffing and procedures maintained by the Business Customer.
VOXA is not an emergency-response service.
End Users requiring urgent medical, police, fire, safety or emergency assistance should contact the appropriate local emergency authority or an authorised human representative.
17. Data Protection
Each party must comply with applicable data-protection law.
For business account, billing and service-administration information, AIBUILDHUBS generally acts as an independent data controller.
For Conversation Data processed according to the Business Customer’s instructions, the Business Customer generally acts as controller and AIBUILDHUBS as processor.
Where required, the parties will enter into an appropriate Data Processing Agreement.
The Business Customer must:
- provide legally required privacy information;
- establish a valid legal basis;
- configure appropriate retention;
- ensure that only authorised personnel access Conversation Data;
- respond to data-subject requests;
- notify AIBUILDHUBS of unlawful or unauthorised processing.
Processing is further described in the VOXA Voice Agent Privacy Policy.
18. Security
AIBUILDHUBS uses reasonable technical and organisational safeguards designed to protect the Service and Customer Data.
The Business Customer acknowledges that no internet-connected service is completely immune from:
- interruption;
- unauthorised attack;
- software defects;
- third-party infrastructure failure;
- telecommunications outages.
The Business Customer must notify AIBUILDHUBS promptly of suspected unauthorised access or credential compromise.
19. Third-Party Services
VOXA may depend on third-party services for:
- cloud infrastructure;
- database services;
- authentication;
- artificial-intelligence processing;
- speech processing;
- communications;
- payment processing;
- monitoring and security.
Third-party services may experience outages, restrictions or changes outside AIBUILDHUBS’ direct control.
AIBUILDHUBS is not responsible for third-party failures beyond the extent required by applicable law, but will take commercially reasonable steps to restore affected functionality.
20. Service Availability and Changes
AIBUILDHUBS aims to maintain reliable Service availability but does not guarantee uninterrupted or error-free operation unless a separate written Service Level Agreement applies.
We may modify the Service to:
- improve performance or security;
- comply with legal obligations;
- respond to third-party platform changes;
- prevent misuse;
- add, change or remove functionality.
Material changes affecting an active paid plan will be communicated where reasonably practicable.
Roadmap features, demonstrations, prototypes and future-functionality statements are informational and do not create a binding delivery commitment unless agreed in writing.
21. Support
Support is provided according to the selected plan and applicable commercial terms.
The Business Customer must provide sufficient information to investigate an issue, while avoiding unnecessary disclosure of personal or confidential information.
AIBUILDHUBS may prioritise incidents according to severity, security impact and service availability.
22. Intellectual Property
VOXA, including its:
- software;
- interface;
- branding;
- workflow logic;
- system architecture;
- documentation;
- prompts and operational configurations;
- designs and protected materials,
is owned by or licensed to AIBUILDHUBS.
Except for the limited licence granted in these Terms, no intellectual-property rights are transferred to the Business Customer.
The names AIBUILDHUBS and VOXA Voice Agent, associated branding and product materials may not be used without authorisation.
23. Confidentiality
Each party must protect confidential information received from the other party and use it only for the purposes of the business relationship.
Confidential information does not include information that:
- was already lawfully known;
- becomes public without breach;
- is lawfully received from another source;
- is independently developed without use of the confidential information;
- must be disclosed by law.
24. Suspension
AIBUILDHUBS may restrict or suspend access where reasonably necessary because of:
- non-payment;
- material breach of these Terms;
- security risk;
- unlawful activity;
- abuse of the Service;
- infringement of third-party rights;
- risk to other customers or infrastructure;
- legal or regulatory requirement.
Where appropriate, we will provide notice and a reasonable opportunity to remedy the issue.
Immediate suspension may occur where necessary to prevent harm, security compromise or unlawful processing.
25. Termination
Either party may terminate according to the applicable subscription or written agreement.
AIBUILDHUBS may terminate immediately for:
- serious or repeated breach;
- fraudulent use;
- unlawful processing;
- deliberate security interference;
- non-payment following reasonable notice;
- conduct exposing AIBUILDHUBS or others to material legal or security risk.
Upon termination:
- the licence ends;
- access may be disabled;
- outstanding amounts remain payable;
- Customer Data will be handled according to the applicable Privacy Policy and Data Processing Agreement;
- provisions intended to survive termination remain effective.
26. Disclaimer of Warranties
To the extent permitted by law, VOXA is provided on an “as available” basis.
AIBUILDHUBS does not warrant that:
- every response will be accurate;
- the Service will meet every business requirement;
- operation will always be uninterrupted;
- every inquiry will be resolved;
- VOXA will generate a specific commercial result;
- use of VOXA will guarantee bookings, sales, leads, savings or revenue.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
27. Limitation of Liability
To the maximum extent permitted by applicable law, AIBUILDHUBS will not be liable for indirect, incidental, special or consequential loss, including loss of:
- profits;
- revenue;
- business opportunity;
- goodwill;
- anticipated savings;
- data resulting from the Business Customer’s failure to maintain appropriate safeguards.
Except where liability cannot legally be limited, AIBUILDHUBS’ total aggregate liability arising from the Service will not exceed the fees paid by the Business Customer for VOXA during the twelve months preceding the event giving rise to the claim.
These limitations do not apply where prohibited by law, including liability arising from fraud, wilful misconduct, gross negligence or other liability that cannot lawfully be excluded.
28. Indemnification
To the extent permitted by law, the Business Customer is responsible for claims arising from:
- unlawful Customer Content;
- lack of authority to process submitted data;
- infringement of third-party rights;
- prohibited use of VOXA;
- failure to provide legally required disclosures;
- material breach of these Terms.
This section does not apply to the extent a claim results directly from AIBUILDHUBS’ breach, unlawful conduct or negligence.
29. Force Majeure
Neither party will be responsible for delay or failure caused by circumstances beyond its reasonable control, including:
- natural disasters;
- internet or telecommunications failures;
- government action;
- war or civil disturbance;
- widespread cyber incidents;
- third-party infrastructure outages;
- labour disruption.
Payment obligations already incurred are not excused by this section.
30. Changes to These Terms
AIBUILDHUBS may update these Terms to reflect:
- Service changes;
- security requirements;
- legal developments;
- commercial or operational changes.
Material changes will be communicated where required. Continued use after the effective date of updated Terms constitutes acceptance, subject to mandatory legal rights.
31. Governing Law and Jurisdiction
These Terms are governed by the laws of Greece and applicable European Union law.
Unless mandatory law provides otherwise, disputes relating to these Terms will be subject to the competent courts of Chania, Crete, Greece.
Before initiating formal proceedings, the parties should attempt in good faith to resolve the matter through written communication.
32. General Provisions
If any provision is found invalid or unenforceable, the remaining provisions remain effective.
Failure to enforce a provision does not waive the right to enforce it later.
The Business Customer may not assign its rights or obligations without prior written consent, except as part of a legitimate business reorganisation or sale.
These Terms, together with the applicable order, checkout, Privacy Policy and Data Processing Agreement, constitute the agreement concerning the Service unless a separate written contract applies.
